1. Who we are and what these terms cover

This website, soonerased.com (the “Site”), is operated by SOON ERASED LTD, a company registered in England and Wales under company number 16692885, trading as Soon Erased (“Soon Erased”, “we”, “us”, “our”).

These terms of use govern your access to and use of the Site, including the gallery, the artist pages, the studio pages and the artist portal. By using the Site you agree to these terms. If you do not agree to them, please do not use the Site.

Purchases of artworks are additionally governed by our Terms of sale. Our handling of personal data is described in our Privacy policy. Design and marketing services provided by the Soon Erased studio are governed by a separate written services agreement issued per project, not by these terms.

2. Changes to these terms and to the Site

We may amend these terms from time to time. The version published on this page at the time you use the Site is the version that applies to you, and the “last updated” date above will change whenever we amend them. We may also update, change or remove any content on the Site at any time and do not guarantee that the Site, or any content on it, will always be available or uninterrupted.

3. Using the Site

You may use the Site only for lawful purposes. You must not:

• use the Site in any way that breaches any applicable law or regulation;
• attempt to gain unauthorised access to the Site, the server on which it is hosted, or any database, computer or server connected to it;
• knowingly introduce viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful;
• scrape, harvest, or systematically extract data or images from the Site, whether by automated means or otherwise, without our prior written consent;
• misuse any enquiry form, subscription form or contact address, including by sending unsolicited commercial communications or submitting false information.

4. The artist portal and accounts

Access to the artist portal is by invitation. If you hold portal credentials you are responsible for keeping them confidential and for all activity that occurs under your account. You must notify us promptly at hello@soonerased.com if you believe your credentials have been compromised. We may suspend or withdraw access to the portal at any time where we reasonably believe these terms, or the separate agreement between us and the relevant artist, have been breached.

5. Intellectual property

Artworks. Copyright in every artwork shown on the Site remains with the artist who created it (or their licensors). Artworks are displayed on the Site under licence from the artists for the purposes of exhibition and sale. Purchasing a physical artwork transfers ownership of the physical object only — it does not transfer copyright or any reproduction rights, which remain with the artist.

Site content. All other content on the Site — including the Soon Erased name and mark, the design of the Site, its text, layout, code, photography and graphics — is owned by us or our licensors and is protected by copyright and other intellectual property rights. You may view, download and print pages for your own personal, non-commercial use. You must not otherwise reproduce, modify, distribute or commercially exploit any content from the Site without our prior written consent, and you must not remove any copyright or other proprietary notices.

6. Content you send us

If you submit material to us (for example an enquiry, a project brief, or images of your work as an artist), you confirm that you have the right to send it and that it does not infringe anyone else’s rights. You retain ownership of your material; you grant us a non-exclusive licence to use it for the purpose for which you sent it (for example, assessing your work for representation or responding to your enquiry).

7. Links and third-party content

The Site may link to third-party websites and services (for example Instagram). Those links are provided for your convenience only; we have no control over, and accept no responsibility for, their content or their privacy practices.

8. Our liability

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the law of England and Wales.

The Site and its content are provided for general information. Descriptions of artworks are written in good faith and in plain English; minor variations in colour between the image on your screen and the physical work are normal and do not amount to a misdescription. To the extent permitted by law, we exclude all implied conditions, warranties and representations that may apply to the Site or any content on it, and we will not be liable to any user for any loss of profit, business, goodwill or data, or any indirect or consequential loss, arising from use of (or inability to use) the Site. If you are a consumer, nothing in this section affects your statutory rights.

9. General

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force. A failure by us to enforce any provision is not a waiver of it. These terms are not intended to give rights to anyone other than you and us.

10. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them — except that if you are a consumer resident elsewhere in the UK, you may also bring proceedings in your home nation, and you retain the benefit of any mandatory consumer protections of it.
